Article 1 - Definitions
In these terms and conditions, the following definitions apply:
- City Spaces Amsterdam: The company City Spaces Amsterdam, registered at the Chamber of Commerce, providing virtual office services.
- Client: Any natural or legal person who enters into an agreement with City Spaces Amsterdam.
- Services: All services provided by City Spaces Amsterdam, including but not limited to virtual office services, mail handling, and meeting room facilities.
- Agreement: Any agreement between City Spaces Amsterdam and the Client for the provision of Services.
Article 2 - Applicability
These terms and conditions apply to all offers, agreements, and services provided by City Spaces Amsterdam.
Deviations from these terms and conditions are only valid if expressly agreed in writing.
Article 3 - Services
City Spaces Amsterdam provides the following services:
- Business address registration for Chamber of Commerce (KvK)
- Mail reception and handling
- Mail scanning and digital forwarding
- Physical mail forwarding
- Telephone answering services
- Meeting room facilities
Article 4 - Agreement & KYC
The agreement is concluded upon acceptance of the Client's application by City Spaces Amsterdam, following successful completion of KYC (Know Your Customer) verification.
The Client is required to provide accurate and complete information during the KYC process. City Spaces Amsterdam reserves the right to refuse or terminate services if information provided is false or incomplete.
City Spaces Amsterdam is obligated under Dutch law to perform customer due diligence and may request additional documentation at any time.
Article 5 - Payment
Payment is due in advance according to the selected subscription plan. Invoices are sent electronically.
In case of late payment, City Spaces Amsterdam reserves the right to suspend services and charge statutory interest.
All prices are exclusive of VAT unless otherwise stated.
Article 6 - Duration & Termination
The agreement is entered into for the period specified in the subscription plan and is automatically renewed unless cancelled.
Cancellation must be submitted at least 30 days before the end of the current period through the client dashboard or in writing.
Article 7 - Client Obligations
The Client is obligated to:
- Provide accurate and up-to-date information
- Use the services only for lawful purposes
- Pay invoices on time
- Notify City Spaces Amsterdam immediately of any changes in business or personal details
Article 8 - Liability
City Spaces Amsterdam is not liable for indirect damages, including but not limited to loss of profit, business interruption, or reputational damage.
The total liability of City Spaces Amsterdam is limited to the amount paid by the Client in the 12 months preceding the claim.
Article 9 - Privacy
City Spaces Amsterdam processes personal data in accordance with the General Data Protection Regulation (GDPR). Please refer to our Privacy Policy for more information.
The Client consents to the processing of personal data as necessary for the provision of services.
Article 10 - Applicable Law
These terms and conditions are governed by Dutch law. Any disputes will be submitted to the competent court in Amsterdam.
Article 11 - Mail Handling, KvK Verification, KYC and Authorisation
- Clients using City Spaces Amsterdam's registered address are required to provide the information and documents necessary for the onboarding, identification and KYC (Know Your Customer) process.
- By signing the agreement, the Client authorises City Spaces Amsterdam to carry out, on behalf of the Client, the actions necessary for the provision of the services, including verification, identification and registration actions relating to the use of the registered address.
- If the business is not yet registered with the Dutch Chamber of Commerce (KvK) at the time of registration, official KvK correspondence received at the registered address will be used to complete the onboarding and verification process.
- The Client hereby expressly grants City Spaces Amsterdam permission to open, register, scan and digitally store this KvK correspondence in the Client's file. This information will be used solely to verify the registration, the registered address and the identity of the business, as part of our compliance, identification and KYC obligations.
- Information obtained from the KvK correspondence may be added to the Client profile and onboarding file for the purposes of statutory and internal verification requirements.
- After completion of the onboarding and KYC process, other mail is handled according to the service option selected by the Client. The Client may choose between:
- Digital processing of mail by scanning and delivery via email; or
- Unopened storage of mail, to be collected by appointment during business hours.
- Regular mail that is not related to the onboarding, identification or verification process will not be opened, unless the Client has given prior written consent or City Spaces Amsterdam is legally required to do so.
- City Spaces Amsterdam treats all received mail and personal data confidentially and processes them solely for the provision of the services, the onboarding process, compliance with applicable laws and regulations, and the protection of its legitimate interests.
- By signing the agreement, the Client acknowledges having read this article, grants the aforementioned permissions and authorisations, and expressly consents to this procedure.
Article 12 – Changes and Suspension of Services
12.1 City Spaces Amsterdam reserves the right to change its services, facilities, opening hours, processes, digital systems and offered packages where necessary for business operations, safety, legal obligations or quality improvement.
12.2 If a change has material consequences for the services, City Spaces Amsterdam will inform the Client in advance in writing, insofar as reasonably possible.
12.3 City Spaces Amsterdam is entitled to temporarily suspend the services in whole or in part if:
- the Client fails to meet its payment obligations;
- the Client does not comply with KYC, Wwft or other legal obligations;
- there is fraud, misuse, or a security or integrity risk;
- this is necessary due to maintenance, malfunctions or force majeure.
12.4 During a period of suspension, all payment obligations of the Client remain fully in force, unless City Spaces Amsterdam confirms otherwise in writing.
12.5 City Spaces Amsterdam is not liable for any damage arising from a temporary interruption or change of the services as a result of maintenance, technical malfunctions, force majeure or legal obligations.
12.6 If continuation of the services is no longer reasonably possible, City Spaces Amsterdam reserves the right to terminate the agreement in whole or in part, with due observance of applicable laws and regulations.
Article 13 – Early Termination by the Client
13.1 Regardless of the chosen subscription (monthly, semi-annual or annual), a minimum contract term of three (3) months applies to every agreement.
13.2 The agreement cannot be terminated during this minimum contract term.
13.3 If the Client wishes to terminate the agreement before the end of the first three months, the Client remains obliged to pay the subscription fees for the remaining period of the minimum contract term in full.
13.4 After the minimum contract term has ended, the agreement may be cancelled in accordance with the notice period applicable to the chosen subscription.
Article 14 – Payment Arrears and Collection Procedure
14.1 Invoices must be paid within the agreed payment term.
14.2 In the event of payment arrears of two (2) months, City Spaces Amsterdam is entitled to start an internal collection procedure. For this, internal collection costs of €30 per week will be charged until the full payment arrears have been settled.
14.3 If the payment arrears reach three (3) months, or if payment fails to materialise despite several reminders, City Spaces Amsterdam is entitled to transfer the full claim without further notice to an external collection partner or bailiff.
14.4 All statutory interest, extrajudicial collection costs, legal costs and other costs arising from the collection are fully payable by the Client.
Article 15 – Amendments to the Terms and Conditions
15.1 City Spaces Amsterdam reserves the right to amend these terms and conditions periodically.
15.2 Amendments may result from changes in laws and regulations, changes in the services, internal policy changes or other business developments.
15.3 The most current version of the terms and conditions is always available on the City Spaces Amsterdam website.
15.4 Clients are informed of important changes at least once a year via a newsletter. In addition, interim changes may be made where laws, regulations or business circumstances require this.
15.5 The Client is responsible for consulting the most current version of the terms and conditions.
Article 16 – Collection of Mail
16.1 At the start of the agreement, the Client chooses a fixed collection day for picking up physical mail.
16.2 Mail can only be collected during regular opening hours on the agreed collection day, unless agreed otherwise in writing.
16.3 If the Client structurally wishes for a different collection day, City Spaces Amsterdam may apply additional conditions or costs.
16.4 If mail is not collected within the agreed retention period, City Spaces Amsterdam is entitled to return the mail to sender, destroy it, or charge storage costs, in accordance with the other provisions of these terms and conditions.
Article 17 – Periodic KYC, Compliance and WWFT Checks
17.1 Throughout the entire term of the agreement, City Spaces Amsterdam reserves the right to periodically carry out additional KYC, compliance and WWFT checks.
17.2 These checks may relate to, among other things:
- changes in business activities;
- changes in directors, shareholders or UBOs;
- changes in the legal form;
- changes in the registered, visiting or mailing address;
- changes in contact details;
- the nature of the business activities;
- the origin of funds;
- international transactions or business relationships;
- other information necessary to comply with the WWFT or other legal obligations.
17.3 The Client is obliged to fully cooperate with these checks and to provide all requested documents or information within the set term.
17.4 If the Client does not cooperate, provides incorrect information, or if City Spaces Amsterdam identifies an increased integrity, fraud or compliance risk, City Spaces Amsterdam reserves the right to temporarily suspend the services or to terminate the agreement with immediate effect, without the Client's payment obligations lapsing.
Article 18 – Death, Cessation or Dissolution of the Business
18.1 The Client is obliged to inform City Spaces Amsterdam in writing without delay in the event of:
- the death of the contract holder;
- cessation of the business;
- deregistration from the Chamber of Commerce;
- dissolution of the legal entity;
- bankruptcy;
- suspension of payment;
- or any other situation causing the business to cease to exist.
18.2 In these cases, City Spaces Amsterdam is entitled to terminate the agreement with immediate effect.
18.3 Mail, parcels and other correspondence are only released to the legally authorised heir, administrator, liquidator or a written authorised representative, after the required supporting documents have been submitted.
18.4 All outstanding invoices remain fully payable and form part of the estate or the winding-up of the business.
Article 19 – Flexible Subscriptions and Price Changes
19.1 City Spaces Amsterdam offers monthly, quarterly, semi-annual and annual subscriptions.
19.2 A minimum contract term of three (3) months also applies to flexible subscriptions, unless agreed otherwise in writing.
19.3 City Spaces Amsterdam reserves the right to index rates annually.
19.4 The annual price indexation is a maximum of 5%, unless laws, regulations or exceptional economic circumstances require a higher indexation.
Article 20 – Relocation of the Registered Address
20.1 If City Spaces Amsterdam relocates to another location within the same region, the agreement remains fully in force.
20.2 Clients are informed in writing of the address change at least thirty (30) days in advance.
20.3 If necessary, City Spaces Amsterdam provides administrative support for changing the registered address at the Chamber of Commerce. Any external costs are payable by the Client.
20.4 A relocation of City Spaces Amsterdam does not entitle the Client to free termination of the agreement.
Article 21 – Parcel Policy and Retention Periods
21.1 Parcels are only accepted for Clients with an active subscription in which parcel reception is part of the chosen package.
21.2 Parcels are stored free of charge for a maximum of 14 calendar days.
21.3 After this period, City Spaces Amsterdam may charge storage costs or return the parcel to the sender.
21.4 Perishable goods, hazardous substances, prohibited goods or goods requiring special storage are not accepted.
21.5 City Spaces Amsterdam is not liable for damage arising from parcels not being collected on time.
Article 22 – Automatic Renewal
22.1 Every agreement is automatically renewed after the agreed contract period, unless the Client cancels the agreement in a timely manner and in writing in accordance with the applicable notice period.
22.2 The renewal takes place under the rates, conditions and services of City Spaces Amsterdam applicable at that time.
22.3 If City Spaces Amsterdam decides not to renew a subscription, it will inform the Client in writing in advance.
Article 23 – Fixed Collection Day
23.1 At the start of the agreement, the Client chooses a fixed day for collecting mail and parcels.
23.2 Collection on another day is only possible with the prior consent of City Spaces Amsterdam.
23.3 Structural changes to the fixed collection day can only be requested in writing.
Article 24 – Data Security and Privacy
24.1 City Spaces Amsterdam processes personal data in accordance with applicable privacy legislation, including the GDPR (AVG).
24.2 Personal data is processed solely for the performance of the agreement, legal obligations (including the Wwft), fraud prevention and service provision.
24.3 City Spaces Amsterdam takes appropriate technical and organisational security measures to protect personal and business data against loss, unauthorised access or misuse.
24.4 Only authorised employees have access to Client data insofar as this is necessary for the performance of their duties.
24.5 Where legally required, City Spaces Amsterdam will report a data breach in accordance with applicable regulations.
Article 25 – Weight and Storage of Parcels
25.1 A maximum permitted weight of 30 kilograms applies per parcel, unless agreed otherwise in writing in advance.
25.2 Heavy or bulky shipments may be refused or accepted only against additional storage and handling costs.
25.3 City Spaces Amsterdam reserves the right to limit the number of parcels stored simultaneously per Client if the available storage capacity requires this.
Article 26 – Automatic Renewal
26.1 Every agreement is automatically and tacitly renewed after the agreed contract period, unless the Client cancels the agreement in a timely manner and in writing in accordance with the applicable notice period.
26.2 The automatic renewal takes place for the same contract duration as the original agreement, unless agreed otherwise in writing.
26.3 If the Client does not cancel the agreement in time, a new subscription period is automatically created. The Client remains fully liable for payment during this renewal period.
26.4 Cancellation is only valid if submitted in writing via email or a cancellation method designated by City Spaces Amsterdam, and confirmed in writing by City Spaces Amsterdam.
26.5 City Spaces Amsterdam reserves the right to adjust the rates, services, packages and terms and conditions upon each renewal. The rates and conditions applicable at that time always apply to the renewed agreement.
26.6 If City Spaces Amsterdam decides not to renew the agreement, the Client will be informed in writing before the end of the current contract period.
26.7 By continuing to use the services after the end of the original contract period, the Client accepts the automatic renewal and the conditions applicable at that time.
Article 27 – Non-payment, Suspension of Services and Termination of the Right to Use the Registered Address
27.1 If the Client fails to meet one or more payment obligations on time, City Spaces Amsterdam is entitled to suspend the services in whole or in part with immediate effect, without prior notice of default.
27.2 From the moment of suspension, all services are immediately terminated, including but not limited to:
- the use of the registered address;
- the use of the mailing address;
- the reception, processing, scanning and forwarding of mail;
- the reception and storage of parcels;
- access to coworking spaces, meeting rooms and other facilities;
- all other services that are part of the subscription.
27.3 During the suspension, City Spaces Amsterdam no longer accepts new mail, parcels or other shipments on behalf of the Client. Mail and parcels already received are only released after all outstanding amounts have been paid in full, unless the law provides otherwise.
27.4 If the payment arrears continue or the Client remains in default, City Spaces Amsterdam is entitled to terminate the agreement with immediate effect and to withdraw the right to use the registered and/or mailing address with immediate effect.
27.5 After termination of the right of use, the Client is obliged to immediately change the registered and/or mailing address at the Chamber of Commerce, the Tax Authorities and all other bodies where the address is registered as a correspondence or registered address.
27.6 If the Client fails to change the address in time, City Spaces Amsterdam is entitled to inform the Chamber of Commerce, the Tax Authorities and other competent authorities in writing that the right to use the address has ended and that the Client is no longer authorised to use the City Spaces Amsterdam address, insofar as this is legally permitted or necessary.
27.7 Upon termination, all outstanding claims become immediately fully payable and are transferred without further notice to an external collection partner or bailiff. All statutory interest, extrajudicial collection costs, bailiff costs, legal costs and other collection costs are fully payable by the Client.
27.8 Suspension or termination of the services does not release the Client from any payment obligation. All subscription fees, additional costs and other amounts due remain fully payable until all obligations have been met.
27.9 Any damage suffered by City Spaces Amsterdam as a result of the unlawful continued use of the registered or mailing address, or as a result of non-payment, is fully payable by the Client.
